Examples

  • Our litigation partner Elmer Muna successfully represented Forum Cinemas in the Supreme Court. Forum Cinemas is a member of the Nordic Cinema Group operating cinemas across Northern Europe and the Baltic states. The dispute involved a fundamental debate over various details concerning the liability of a former CEO. As a rare exception, the Supreme Court reviewed the case at an oral hearing. As a result of a successful appeal, the court supported Forum Cinemas’ view that the former CEO withheld information that had to be disclosed when leaving the company. The court also agreed that the former CEO concluded transactions, which were beyond the scope of everyday economic activities and could only be concluded by the Management Board with the consent of the Supervisory Board. The case provides valuable insight into the possibilities and limitations of a CEO’s liability in Estonia.
  • On 23 May 2016, the Supreme Court declined to review an appeal by the Estonian Financial Supervision Authority (FSA), thereby confirming Eesti Krediidipank’s victory against the regulator in lower courts. The bank and the FSA disagreed about whether the bank had fully complied with an order concerning the governance of the bank issued by the FSA in 2013. The dispute helps to delimit the powers of the financial regulator. The bank was represented by our partners Hannes Vallikivi and Elmer Muna.
