DERLING advised on the sale of the Paldiski – Hanko freight and passenger route

DERLING advised Navirail OÜ on the sale of the freight and passenger route between Paldiski (Estonia) and Hanko (Finland) to DFDS. The agreement includes a four-year time-charter agreement for a ro-pax ship and an earn-out agreement. The transaction is subject to approval by the competition authorities. Our team led by partner Rolan Jankelevitsh assisted the client with the preparation of the transaction documents and during negotiations.

The route is operated by the freight and passenger ferry (ro-pax) Sailor. The route’s maximum annual freight capacity is 1.15 million lane metres of freight and 100 000 passengers. The route’s current annual turnover is around EUR 10,7 million.

DERLING team included partners Andres Siigur and Toomas Taube, assisted by lawyer Markus Jakobsoo.
