Introduction

Margo Lemetti is a highly experienced attorney, whose main practice areas are commercial and contract law, litigation, and public procurement. According to international independent publications, Margo is “experienced in dispute resolution and capable of responding quickly to the clients’ requests” (Legal 500). Clients consider Margo as a rational attorney in solving disputes, who also has a deep understanding of clients’ needs and businesses.

Margo is a highly valued lecturer on the subjects of public procurement, refunds of structural fund resources, commercial law, and contract law. Margo has experience in participating as a lecturer at Äripäev seminars and at courses in Addenda Training Centre and training center of Punane Puu.

Practice highlights

  • Advising an Estonian forest industry enterprise AS Lemeks in daily questions related to commercial law and helping them with the preparation of contracts and solving disputes. During the period of 2010-2013, Margo represented AS Lemeks successfully in a tax dispute in the amount of 1.1 MEUR against the Tax and Customs Board.
  • Advising Farmers’ Cooperative KEVILI in issues regarding commercial and contract law. Also advising on establishing Estonia’s largest modern grain terminals in Roodevälja and Rõngu: providing the client with full legal counselling and being involved in all of the issues concerning the construction and funding of the establishment of the terminals. Creating a regulation for internal communication of the cooperative’s members as well as a financial scheme suitable for the bank. Preparing all relevant documents for this project and supporting the cooperative in negotiations.
  • Advising the City Council of Tartu on questions related to the use of EU funding grants, including successful representation of the client in administrative court proceedings against Enterprise Estonia (EAS) regarding the legitimacy of refunding the EU structural fund grants.
  • Advising Estonian leading producer of sauna products OÜ Ha Serv on the transfer of majority shares.
  • Advising on the reorganisation proceedings of one of the largest construction companies in South-Estonia with 75 employees. In the process, we helped the client to transform 231 claims in the amount of 1.2 MEUR and our client’s business activity was able to continue.
  • Successfully advising AS Emajõe Veevärk on an issue related to the performance of a FIDIC construction contract in the Estonian Chamber of Commerce and Industry. The dispute concerned questions of performance of the contract, recoverability of the guarantee of compliance as well as loss of recovery.
  • Advising the Road Administration on questions related to the construction contract of Idaringtee with a contract value of about 65 MEUR. Providing the client with thorough legal analysis of potential risks as well as recommendations for implementing the project. In relation to the advice given to the Road Administration, we also advised the City Council of Tartu on how to prepare expropriation and represented the client in negotiating with land owners.
  • Representing AS PK Oliver (a company with 20 years of experience in central heating systems in all of the Baltic states) in selling its majority shareholding. Helping the client throughout all of the steps in the transaction, from pre-contractual negotiations and drafting contracts to the transaction’s entry into force.
  • Representing different clients from the public sector in issues concerning public procurement, including conduction, preparation and dispute resolution. We have wide experience in drafting tender documents, advising clients on communicating with respective registries and tenders, taking part in the work of the Procurement Committee, and supervising implementation of contracts.
