Rolan Jankelevitsh has gained remarkable experience in advising mergers and acquisitions. He also advises clients on different issues relating to tax law, including mergers and acquisitions tax planning. Rolan has been referred to as “a well-respected corporate/M&A lawyer with practical experience in advising logistics and technology sector clients” (Chambers Europe 2016), as well as an attorney who “advises clients on different issues related to commercial and corporate law and whose competence covers various fields, including infrastructure and energy” (Chambers Europe 2015).

Practice highlights

  • Advising Nortal on buying back 50% of its shares from the investment fund Enterprise Investors and LHV Pension Fund. Before that, Rolan also advised Nortal on raising capital from Enterprise Investors.
  • Analyzing the Estonian Investment Funds Act and developing the principles of tax transparent trust fund in collaboration with experts from the law firm CMS London and CMS Luxembourg. The analysis was commissioned by the EBRD.
  • Advising one of the world’s largest independent lubricant manufacturers Fuchs Petrolub SE on the acquisition of Statoil Fuel & Retail Lubricants in the Baltics.
  • Advising Eesti Talleks group on selling its share in Adole Invest group to the Danish Semler Gruppen. Adole Invest group comprises of companies distributing and reselling Škoda and Porche vehicles.
  • Advising different logistics and infrastructure companies (including AS Coal Terminal, Gazpromneft Marine Bunker and Transiidikeskuse AS) on various issues related to commercial, corporate, and contract law.
